RWE confirmed on 23 June 2026 that it is paying $4.1bn for a majority stake in Amprion, the Dortmund-based TSO responsible for extra-high-voltage transmission across western and south-western Germany. The transaction is the most significant grid ownership deal in German energy infrastructure in years and marks RWE's first controlling position in a transmission system operator.

RWE's stated rationale is balance-sheet resilience: regulated transmission revenue is largely decoupled from wholesale power prices, which have been volatile across German and broader European bidding zones. Adding Amprion's regulated asset base diversifies RWE's cash-flow profile, per Reuters reporting on the deal.

The structural question is regulatory. EU unbundling rules under the Third Energy Package restrict generators from owning transmission assets, with exemptions available under the Independent Transmission Operator model. How German regulator Bundesnetzagentur and the European Commission respond to a majority-generator TSO owner will be a key watch point as the transaction moves toward approval.
